Grant of license
Arachnys Information Services Ltd (the “Company”) grants the End User a revocable, non-exclusive, non-transferable, limited license to download, install and use the Application solely for and in conjunction with the services provided by the Company.

Ownership of content and intellectual property
Title and intellectual property rights in and to any Content, displayed by, reproduced, recorded or accessed through the Application, belongs to the respective Content owners. Such Content may be protected by copyright or other intellectual property laws and treaties, and may be subject to terms of use of the third party providing or displaying such Content. This Agreement does not grant the End User any rights to use such Content other than as expressly indicated in the Application and this Agreement. The Application may be used to reproduce or record End Users Content, so long as such use is limited to the reproduction of non-copyrightable Content, Content to which the End User owns the intellectual property rights in and to the same, or Content which the End User is authorised or legally permitted to reproduce, record or display.

Restriction of use
The End User agrees not to, and will not permit others to:
a) License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose or otherwise commercially exploit the Application or make the Application available to any third party.
b) Make any modification, adaptation, improvement, enhancement or derivative work from the Application.
c) Decompile, reverse engineer, disassemble, attempt to derive the source code of, or decrypt the Application.

Modification
The Company reserves the right to modify, suspend or discontinue, temporarily or permanently, the Application or any service to which it connects, with or without notice and without liability to the End User.

Infringement
End User and the Company acknowledge and agree that, in the event of a third party claim arising from the End Users use of the Application, the End User will be responsible for the defence, settlement and discharge of any such claim and will notify the Company promptly in writing of any such claim.

Termination
The Company may, at its sole discretion, at any time and for any reason, suspend or terminate the license and all rights afforded to the End User without prior notice. The license granted under this Agreement will terminate immediately, without prior notice from the Company in the event that the End User fails to comply with any provision of the Agreement. Upon termination of this license, the End User will cease all use of the Application and uninstall the Application immediately.

Disclaimer of warranties
The End User acknowledges that the Application is provided on an ‘as is’ basis and that the End User use of or reliance upon the Application is at the End Users sole risk and discretion. The Company hereby disclaims any and all representations, warranties and guarantees regarding the Application, whether express, implied or statutory and including without limitation the implied warranties of fitness for a particular purpose, and non-infringement.

Limitation of liability
Under no circumstances shall the Company or any affiliate, partner or supplier be liable for any direct, indirect, incidental, consequential, special or exemplary damages arising out of or in connection with the End Users access or use of or inability to access or use the Application.
